Terms of Service

Meterlane is a B2B software-as-a-service platform providing developer infrastructure tools. Current products include:

• API Monetization Workflows — developer tools for creating API access workflows, usage-based pricing automation, and x402-compatible API monetization infrastructure.
• Business Automation Workflows — B2B workflow automation tools for subscription operations, customer lifecycle management, and billing-provider integrations. Available to vetted business customers following manual onboarding and compliance review.

Meterlane is a B2B software infrastructure provider. Meterlane is not a bank, money services business, financial institution, exchange, brokerage, wallet provider, investment platform, consumer financial service, payment facilitator, payout provider, settlement provider, or money transmitter. Subscription billing is processed through a third-party billing provider. Meterlane does not hold or transmit customer funds.

You must be at least 18 years old and have the authority to bind the organization you represent. By accepting these Terms, you represent that you meet these requirements. Meterlane is not available to individuals or entities in jurisdictions where use would be prohibited by applicable law.

You are responsible for maintaining the security of your account credentials and all API keys issued under your organization. Notify us immediately at support@meterlane.app if you suspect unauthorized access.

You are responsible for all activity that occurs under your organization, including actions taken by team members you invite.

Subscription billing. Paid plans are billed through Stripe, our third-party payment processor. By subscribing, you agree to Stripe's payment terms. Stripe handles card processing, invoicing, and payment collection on our behalf; Meterlane is the merchant of record for Stripe transactions. Subscription fees are charged in advance on a monthly or annual cycle. Where available, an optional crypto checkout method may be offered through BoomFi; crypto checkout availability is subject to BoomFi's separate terms and supported jurisdictions.

7-day trial. Starter, Growth, and Scale plans include a 7-day free trial. No trial is available on Enterprise plans. A valid payment method is required to start a trial. You will be charged at the end of the trial period unless you cancel.

Metered overages. Each paid plan includes a monthly request or transaction allowance. Usage beyond the included amount is billed at the per-unit overage rate for your plan.

x402 API access. For the Agent Gateway, x402 access verifications are made directly between an agent client and your organization's configured receiver address. These are peer-to-peer blockchain transactions; Meterlane does not hold, process, or transmit funds, and is not a party to those transactions. Meterlane's fee is collected via your subscription plan only.

Business Automation Workflows. Certain Business Automation Workflow features available to approved business customers may require identity verification as required by our third-party service partners. Platform access fees may apply based on your plan tier. Contact us for details.

You agree not to use the Service to:

• Process payments for illegal goods or services, or in violation of applicable law
• Circumvent AML, KYC, or sanctions screening requirements
• Abuse, overwhelm, or probe the Service's infrastructure (DDoS, unauthorized access attempts)
• Resell or white-label the Service without a separate written agreement
• Use the Service from jurisdictions subject to comprehensive trade sanctions

We reserve the right to suspend or terminate accounts that violate this section without notice.

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

The Meterlane platform, brand, and documentation are owned by Northforge Labs LLC (operating as Meterlane). You retain ownership of any data you route through the Service. We retain no rights to the content of proxied API requests.

The open-source @meterlane/x402 client library is separately licensed under the MIT License and governed by those terms.

We target 99.9% uptime for the Agent Gateway and Dashboard. Service Level Agreements (SLAs) are available on Enterprise plans. We provide support via email at support@meterlane.app.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Meterlane does not guarantee the availability, speed, or reliability of third-party payment networks or blockchain infrastructure. Stablecoin values may fluctuate and settlement timing may vary.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, METERLANE'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID TO METERLANE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL METERLANE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You may cancel your subscription at any time through the billing portal. Access continues through the end of your paid period.

We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees when due, or if we are required to do so by law. We will provide notice where feasible.

We may update these Terms from time to time. We will provide at least 14 days' notice before material changes take effect, via email or in-app notice. Continued use after the effective date constitutes acceptance.

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in Michigan. You waive the right to participate in class action lawsuits.
